TippToes Ltd Software License Agreement

ATTENTION: USE OF THE SOFTWARE IS SUBJECT TO TippToes Ltd LICENSE TERMS SET FORTH BELOW. USING THE SOFTWARE INDICATES YOUR ACCEPTANCE OF THESE LICENSE TERMS. IF YOU DO NOT ACCEPT THESE LICENSE TERMS, YOU MUST STOP INSTALLATION NOW. YOU MAY RETURN THE SOFTWARE FOR A FULL REFUND.

License Grant

The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.

TippToes Ltd grants the registered user a non-exclusive, personal single user license to use the computer program on a single computer or workstation within a network.

Only one person may use the software at any given time. Any concurrent use of the Software on multiple computers or workstations requires the purchase of a multiple license from TippToes.

"Use" means storing, loading, installing, executing or displaying the Software on one computer system. You may not modify the Software or disable any licensing or control features of the Software.

If the Software is a Demonstration version, then the software may be used to evaluate performance during the time period allocated.

Purchase of Software

Subject to the terms below, you are hereby licenced by TippToes Ltd to use this software for evaluation purposes without charge for up to 30 days, after which a licence fee of per month is required(contact TippToes for details).  Payments must be in Euro and should be sent to TippToes Ltd, Gooldscross, Cashel, Co. Tipperary.  Payment can be made annually by cheque/credit card/cash/direct debit  or monthly by direct debit. 

Ownership

The Software is owned and copyrighted by TippToes Ltd or its third party suppliers. Your license confers no title or ownership in the Software and is not a sale of any rights in the Software. TippToes third party suppliers may protect their rights in the event of any violation of these License Terms.

Copies and Adaptations

You may only make copies of the Software for archival purposes. You may not make the software available to any one else by any means. Only Software Demonstration versions which are clearly marked as such may be passed on to other people for evaluation purposes.

Software Supported

We support Tipps when used in conjunction with the following software programs:  Windows XP or Vista, NOD32 Anti-Virus Software.

Transfer

Your license is not transferable.

Termination

TippToes may terminate your license upon notice for failure to comply with any of these License Terms. Upon termination, you must immediately destroy the Software, together with all copies of the software.

Within one month after the termination of this Agreement, you shall furnish to TippToes a certificate certifying that through your best efforts, and to the best of your knowledge, the original and all copies, in whole or in part, in any form, of Software Product have been destroyed.

Limited Warranty

TippToes total liability hereunder for damages of any nature shall not exceed the total payment made by you for the software.  TippToes shall not be liable for any software failure resulting from accident, abuse, misapplication or modification without permission.  In no event shall TippToes be liable for incidental or consequential damages whatsoever (including but not limited to damages for loss of business profit, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of, or inability to use, the software product, even if TippToes has been advised of the possibility of such damages.  This software, and all accompanying files, data and materials are distributed “AS IS” and with no warranties of any kind, whether express or implied.  The program should be tested with non-critical data before relying on it and all data should be backed up daily.  The user must assume the entire risk of using the program.

Miscellaneous

This Agreement will be governed by the laws of the Republic of Ireland. If any provision of this Agreement shall be held illegal or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that this agreement shall otherwise remain in full force and effect, and enforceable.

Notice

All notices in connection with this EULA shall be in writing and shall be given by certified mail, return receipt requested, at the following address: Gooldscross, Cashel, Co. Tipperary, Ireland.

Entire Agreement

This EULA sets forth the entire understanding between the parties with respect to the subject matter herein, and merges and supersedes all prior written herein, and understandings, express or implied, concerning such matters and, notwithstanding any provisions to the contrary, shall take precedence over any conflicting terms which may be contained in your purchase order acknowledgement form.  This EULA states the entire obligations of TippToes in connection with this software product.
